1. Acceptance of Terms

By accessing or using yalioo.com or any services provided by Yalioo ("Yalioo," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Use. If you do not agree, do not use our site or services.

These Terms apply to all visitors, clients, and anyone who accesses or uses our services in any capacity.

2. Description of Services

Yalioo provides a Done-For-You website conversion optimization service designed to help businesses generate more booked appointments from their existing website traffic. Our service includes website analysis, conversion strategy, implementation, reporting, and ongoing optimization — as outlined in your service agreement.

Yalioo is not a marketing agency, CRM platform, or advertising service. We operate strictly at the website conversion layer.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or your business to use our services. By using our services, you represent and warrant that you meet these requirements.

4. Service Agreement

Your use of Yalioo's paid services is governed by a separate Service Agreement, Order Form, or Statement of Work entered into between you and Yalioo. In the event of any conflict between these Terms of Use and your Service Agreement, the Service Agreement shall take precedence.

5. Client Responsibilities

To receive the full benefit of our services, you agree to:

Provide accurate, complete, and up-to-date business information during onboarding and throughout the engagement.

Grant Yalioo reasonable access to your website, analytics platforms, and relevant third-party tools as required to deliver the service.

Respond to communications from Yalioo within a reasonable timeframe to avoid delays.

Ensure that all content, materials, and information you provide do not infringe any third-party rights or violate applicable law.

You acknowledge that delays caused by failure to fulfill these responsibilities may affect service delivery timelines and may impact eligibility for any guarantees offered.

6. Acceptable Use

You agree not to:

Use our site or services for any unlawful purpose or in violation of any applicable regulations.

Attempt to gain unauthorized access to any part of our systems, services, or other clients' data.

Reverse engineer, copy, resell, or sublicense any part of our service, methodology, or proprietary processes.

Submit false, misleading, or fraudulent information during onboarding or at any point during the engagement.

Use our services in connection with any business that promotes illegal activity, hate speech, or harmful content.

Violation of this section may result in immediate termination of your account without refund.

7. Intellectual Property

All content on yalioo.com — including text, graphics, logos, service frameworks, methodologies, and software — is the exclusive property of Yalioo and is protected by applicable intellectual property laws.

Our proprietary frameworks, including but not limited to the PATHE Framework™ and all associated step names and deliverables, are the exclusive intellectual property of Yalioo. You may not reproduce, distribute, or create derivative works from any Yalioo proprietary material without prior written permission.

Nothing in these Terms grants you any ownership rights in our services, systems, or intellectual property.

8. Confidentiality

Both parties may have access to confidential information belonging to the other in the course of the engagement. Each party agrees to keep such information confidential and not to disclose it to any third party without prior written consent, except as required by law.

This obligation survives the termination of the service relationship.

9. Results Disclaimer

Yalioo provides conversion optimization services based on industry best practices and data-driven methodology. However, we do not guarantee specific revenue outcomes, booking volumes, or conversion rates, except as expressly stated in a written guarantee included in your Service Agreement.

Results may vary based on factors outside our control, including but not limited to: your industry, traffic volume, offer quality, pricing, market conditions, and your timely provision of required access and information.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

Yalioo's total liability to you for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by you to Yalioo in the three (3) months preceding the claim.

Yalioo shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits or lost revenue, even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Yalioo and its officers, employees, and contractors from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or related to: your use of our services, your breach of these Terms, or any content or materials you provide to us.

12. Third-Party Tools and Integrations

Our services may integrate with or rely on third-party platforms including website builders, CRM tools, scheduling software, and analytics platforms. Yalioo is not responsible for the performance, availability, or terms of any third-party service. Your use of third-party tools is subject to their respective terms and privacy policies.

13. Termination

Either party may terminate the service relationship in accordance with the terms of your Service Agreement. Yalioo reserves the right to suspend or terminate your access to our services immediately if you violate these Terms of Use or engage in conduct that is harmful to Yalioo, its clients, or third parties.

Upon termination, your right to access our services ceases immediately. Provisions that by their nature should survive termination — including intellectual property, confidentiality, limitation of liability, and indemnification — shall survive.

14. Governing Law
